Capital: In January of 2015, Banco Santander successfully completed a EUR 7.5 billion capital increase directed at institutional investors. The goal is to strengthen capital to take advantage of opportunities for organic growth, increasing credit and market share in the Bank´s key markets, while comfortably meeting all new international regulatory requirements. All of the goals set in January are met during the full fiscal year, such that 2015 closes with capital ratios of 12.55% for CET1 and 10.05% fully loaded. A new dividend policy, with less paid in shares and more in cash, offers shareholders more attractive and sustainable profit.

Corporate governance and team: The Bank´s corporate governance is renewed in order to incorporate international best practices. New independent directors are named; a new retribution policy is established for executive directors and senior management, aligned with the Simple, Personal and Fair culture; new country heads are appointed in five of the main countries, and the leadership and efficiency of the corporate headquarters is reinforced.
