Banco Santander’s Board of Directors assumes the recommendation number 2 of those contained in the Report of the Special Working Group on Good Governance of Listed Companies in Spain of May 19, 2006 (known as the “Unified Code”) and has defined, through a series of rules, a framework for the relationship between Santander, as the parent Company and Banesto, their respective areas of activity and business relations, as well as the mechanisms to resolve possible conflicts of interest.
